1. Scope of Cooperation
Defining our service boundaries and client relationships
1.1 Service Coverage
REIKOCABINETS provides procurement, customization, and international delivery services for steel cabinet products, including but not limited to tool cabinets, tool carts, and workstation systems.
1.2 Applicable Clients
These Terms apply to corporate buyers, distributors, project contractors, and other commercial entities engaging in business transactions with REIKOCABINETS.
1.3 Geographic Markets
Our services primarily cover Europe, North America, and Southeast Asia. Special arrangements may apply for other regions.
1.4 Agreement Formation
By placing an order or signing a quotation, the client acknowledges and agrees to be bound by these Terms of Service.
2. Order Terms
MOQ, payment, and delivery requirements
2.1 Minimum Order Quantity (MOQ)
- •Standard stock models: MOQ typically ranges from 50-100 units depending on product type
- •Customized projects: MOQ subject to negotiation based on complexity and tooling requirements
- •Mixed container orders: Available for established clients with flexible MOQ per SKU
2.2 Payment Terms
- •Standard orders: 30% deposit upon order confirmation, 70% balance before shipment
- •Custom projects: 40% deposit (including tooling costs), 60% before delivery
- •Established clients: Net 30 or Net 60 terms available upon credit approval
- •Accepted methods: T/T (Wire Transfer), L/C at sight for orders above USD 50,000
2.3 Lead Time
- •Stock models: 15-25 working days after deposit confirmation
- •Customized products: 35-50 working days depending on modifications
- •New tooling projects: 50-70 working days including sampling and approval
- •International shipping: Additional 20-45 days depending on destination and method (sea/air)
2.4 Order Modifications
Changes to confirmed orders must be requested in writing within 7 days of order confirmation. Modifications after production commencement may incur additional charges.
3. Customization Terms
Sampling, tooling, and mold ownership policies
3.1 Sampling and Prototyping
- •Initial sample fee: USD 200-800 per unit depending on complexity
- •Sample production time: 15-20 working days
- •Sample fees are refundable upon mass production order confirmation (MOQ applies)
- •Clients are responsible for sample shipping costs
3.2 Tooling and Mold Costs
- •New mold/tooling costs: Quoted separately based on technical requirements
- •Tooling fees are non-refundable and payable with initial deposit
- •Estimated range: USD 1,500-8,000 depending on part complexity
3.3 Mold Ownership
- •Standard practice: Molds remain property of REIKOCABINETS and partner factories
- •Exclusive mold ownership: Available upon request with full tooling cost payment plus 30% premium
- •Mold storage: Free storage for 24 months after last production; storage fees apply thereafter
- •Mold maintenance: Routine maintenance included; major repairs charged separately
3.4 Design and Intellectual Property
- •Client-provided designs remain client property; REIKOCABINETS maintains confidentiality
- •Modifications to standard models: Design variations become joint property unless exclusive rights purchased
- •Third-party IP: Client warrants that provided designs do not infringe third-party rights
4. Quality Assurance & After-Sales
Inspection, warranty, and support commitments
4.1 Pre-Shipment Inspection
- •Internal QC: 100% inspection before packaging (dimensions, finish, functionality)
- •Third-party inspection: Available upon request (SGS, Bureau Veritas, etc.) at client's expense
- •Inspection reports: Provided within 3 business days of inspection completion
- •Client on-site inspection: Welcome with 7 days advance notice
4.2 Quality Standards
- •Manufacturing tolerance: ±2mm for metal components, ±0.5mm for precision parts
- •Surface finish: Powder coating thickness 60-80μm, adhesion grade 0-1 (ISO 2409)
- •Load capacity: As specified in product documentation; tested to 1.5x rated capacity
- •Compliance: Products meet ISO 9001 standards; specific certifications available upon request
4.3 Warranty Coverage
- •Standard warranty: 12 months from delivery date
- •Coverage: Manufacturing defects, material failures, structural integrity issues
- •Exclusions: Normal wear and tear, misuse, unauthorized modifications, improper installation
- •Extended warranty: Available for purchase (up to 36 months)
4.4 Claims and Returns
- •Claim notification: Must be submitted within 7 days of delivery with photographic evidence
- •Defect rate threshold: Claims accepted if defect rate exceeds 2% of order quantity
- •Resolution options: Replacement parts, credit note, or product replacement (at REIKOCABINETS' discretion)
- •Return shipping: Defective products return shipping covered by REIKOCABINETS if claim approved
- •Non-defective returns: Not accepted unless pre-approved; 20% restocking fee applies
4.5 Technical Support
- •Installation guidance: Manuals and assembly instructions provided in English
- •Remote support: Email and video call support available during business hours (GMT+8)
- •Spare parts: Available for purchase for up to 5 years after product discontinuation
5. Liability & Dispute Resolution
Legal framework and conflict management
5.1 Limitation of Liability
- •Maximum liability: Limited to the total invoice value of the affected order
- •Excluded damages: REIKOCABINETS is not liable for indirect, consequential, or punitive damages including loss of profits, business interruption, or reputational harm
- •Force majeure: Neither party liable for delays or failures due to circumstances beyond reasonable control (natural disasters, war, pandemic, government actions, etc.)
5.2 Client Obligations and Breach
- •Payment default: Orders may be suspended or cancelled if payment is not received within 7 days of due date; 1.5% monthly interest applies to overdue amounts
- •Information accuracy: Client responsible for providing accurate specifications, shipping addresses, and regulatory requirements
- •Inspection timing: Failure to inspect goods within 7 days of delivery constitutes acceptance
5.3 REIKOCABINETS Breach
- •Delivery delays: If shipment delayed beyond agreed lead time by more than 15 days (excluding force majeure), client may claim 0.5% of order value per week delay, capped at 5% total
- •Quality non-compliance: If defect rate exceeds 5% and not resolved within 30 days, client entitled to full refund or replacement
5.4 Dispute Resolution Process
- •Step 1 - Negotiation: Parties agree to first attempt good-faith negotiation for 30 days
- •Step 2 - Mediation: If unresolved, disputes shall be referred to mediation under ICC Mediation Rules
- •Step 3 - Arbitration: Unresolved disputes after mediation shall be settled by arbitration under ICC Arbitration Rules
- •Arbitration venue: Singapore International Arbitration Centre (SIAC)
- •Language: English
- •Governing law: These Terms are governed by the laws of the People's Republic of China, excluding conflict of law provisions
5.5 Confidentiality
- •Both parties agree to maintain confidentiality of proprietary information, technical specifications, pricing, and business terms
- •Obligation survives for 3 years after termination of business relationship
5.6 Amendments
- •REIKOCABINETS reserves the right to update these Terms with 30 days notice via email or website announcement
- •Continued engagement after notice period constitutes acceptance of revised Terms
